Terms of Use

1. Agreement

By creating an account, accepting an invite, connecting a Facebook Page, or otherwise using ChatlyHQ, you agree to these Terms. If you use ChatlyHQ on behalf of a company, you represent that you can bind that company.

2. The service

ChatlyHQ is a software tool to automate and operate Facebook Messenger experiences for Pages you connect—including welcome flows, keyword replies, broadcasts, contact sync, and related analytics. Features may change as we ship improvements or as Meta Platform rules and APIs change. We do not guarantee uninterrupted availability of Meta APIs.

3. Accounts, agencies, and authority

• You may only connect Facebook Pages you are authorized to manage.
• You are responsible for all activity in your workspace, including invited agency clients and staff.
• Agency owners must keep client workspaces separated and must not misuse another client's audiences or content.
• You must revoke access promptly when someone should no longer operate a Page or workspace.

4. Facebook & Meta Platform compliance

Messaging features depend on Meta products. You must follow Meta Platform Terms, Developer Policies, Messenger Platform Policy, and Community Standards. Without limiting those rules, you agree not to use ChatlyHQ to:

• Send spam, unsolicited bulk messages, or deceptive content.
• Ignore the 24-hour messaging window or misuse message tags.
• Scrape, resell, or misuse Messenger subscriber lists.
• Bypass Meta rate limits, blocks, or app-review requirements.
• Impersonate a business or obtain Page tokens without authorization.

If Meta restricts an app, Page, or token—or if your use creates Platform risk—we may suspend affected features or accounts. You remain responsible for how your Page communicates with end users.

5. Plans, billing, and fair use

Free and paid plan limits (Pages, subscribers, broadcasts, and similar quotas) are described on Pricing and in the Subscription Terms. Paid plans renew according to the term you select unless canceled before the renewal date. Fees already charged are generally non-refundable except where required by law or expressly stated at checkout.

We may throttle or pause features that threaten system stability or violate plan limits. Abuse of free tiers (for example automated account farming) may result in suspension.

6. Acceptable use of the product

You may not reverse engineer the service except as allowed by law, probe or attack our infrastructure, overload APIs, or use ChatlyHQ for unlawful, harmful, or fraudulent activity. You may not resell access to ChatlyHQ as a white-label product without a separate written agreement.

7. Intellectual property

ChatlyHQ software, UI, logos, and documentation remain our property or that of our licensors. You keep ownership of content and message copy you create. You grant us a limited license to host and process that content only to operate the service for you.

8. Disclaimers and liability

THE SERVICE IS PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR MESSAGE DELIVERY FAILURES CAUSED BY META, CARRIERS, NETWORK ISSUES, OR YOUR CONFIGURATION. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE FEES YOU PAID TO US IN THE THREE MONTHS BEFORE THE CLAIM.

9. Suspension and termination

You may stop using ChatlyHQ at any time and request workspace closure. We may suspend or terminate access for breach of these Terms, non-payment, Meta Platform risk, or illegal use. Sections that by nature should survive (including ownership, liability limits, and Platform compliance) remain in effect after termination.

10. Changes to these Terms

We may update these Terms by posting a new version with a revised "Last updated" date. Continued use after material changes means you accept the updated Terms. If you disagree, stop using the service and disconnect your Pages.

11. Governing law

These Terms are governed by the laws applicable to the operator of ChatlyHQ, without regard to conflict-of-law rules. Courts in that jurisdiction have exclusive venue, except where mandatory consumer protections require otherwise.
